1. Agreement to Terms

Welcome to StatsPing ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our API monitoring and testing platform, including our website at statsping.net, mobile applications, and related services (collectively, the "Service").

2. Eligibility

• You must be at least 18 years old to use the Service
• If using on behalf of an organization, you must have authority to bind that organization
• The Service is provided from the United States

3. Account Registration

To use certain features, you must create an account and:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of unauthorized use
• Accept responsibility for all activities under your account
• Only maintain one active account

4. Subscription Plans and Billing

• Subscriptions are billed in advance monthly or annually
• All fees are non-refundable except as required by law
• Automatic renewal unless canceled before renewal date
• Upgrades take effect immediately; downgrades at end of billing period
• Failed payments may result in account suspension after 7 days
• All fees are exclusive of applicable taxes

5. Use of the Service

5.1 License Grant

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

5.2 Restrictions

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Monitor endpoints you do not own or have permission to monitor
• Attempt to gain unauthorized access to the Service or related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to compete with us or build a similar product
• Overload or interfere with the operation of the Service
• Create multiple accounts to circumvent usage limits
• Share your account credentials with others

5.3 Acceptable Use Policy

Prohibited Monitoring Activities:

• Endpoints you do not own or have explicit permission to monitor
• Government websites without authorization
• Infrastructure used for illegal activities
• Systems for finding vulnerabilities for malicious exploitation

6. Monitor Results and Data

• We strive for accuracy but do not guarantee all checks will execute on time or that results are 100% accurate
• Data is retained based on your subscription tier (7-90 days or custom)
• You are responsible for exporting data you wish to retain long-term
• Data exports available in CSV or JSON format

7. Intellectual Property

• The Service and all content is owned by StatsPing and protected by intellectual property laws
• StatsPing® and our logo are trademarks of StatsPing
• You retain ownership of your content but grant us a license to use it to provide the Service
• Feedback you provide may be used without compensation or attribution

8. Third-Party Integrations

The Service integrates with Slack, Discord, PagerDuty, SMS providers, and OAuth providers. Your use of these integrations is subject to their terms. We make no warranties regarding third-party services and are not responsible for their availability or security.

9. Service Availability

• We do not guarantee uninterrupted or error-free service
• Scheduled or emergency maintenance may occur with notice when possible
• Enterprise customers receive a formal SLA guaranteeing 99.9% uptime
• Free, Starter, and Pro tiers do not include an SLA

11. Limitation of Liability

We are not liable for missed monitoring checks, failed alert delivery, delayed notifications, or downtime of monitored endpoints.

12. Indemnification

You agree to indemnify and hold harmless StatsPing from any claims, losses, costs, or expenses arising from your use of the Service, violation of these Terms, violation of third-party rights, monitoring without authorization, or violation of applicable laws.

13. Termination

You may terminate your account at any time. We may suspend or terminate your access immediately without notice if you violate these Terms, fail to pay fees, engage in fraudulent activities, or pose a security risk.

Upon termination:

• Your access will be revoked
• Your data will be deleted after 30 days
• You must pay any outstanding fees
• Fees paid are non-refundable (except as required by law)

14. Dispute Resolution

Before filing a claim, you agree to contact us at legal@statsping.net to attempt informal resolution within 30 days.

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except for small claims court matters, intellectual property disputes, or claims seeking injunctive relief.

15. General Terms

• These Terms are governed by the laws of the United States
• You may not assign these Terms without our written consent
• If any provision is unenforceable, the remaining provisions continue in effect
• Our failure to enforce any provision does not constitute a waiver
• These Terms constitute the entire agreement between you and StatsPing
